1. Acceptance of Terms

Welcome to Pantra. These Terms of Service ("Terms") govern your access to and use of the Pantra micro-market services, mobile application, and website (collectively, the "Service"). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Changes to Terms

We may modify these Terms at any time. We will provide notice of any material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

3. Account Registration

To use certain features of the Service, you may need to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

4. Use of the Service

4.1 Micro-Market Access

Our Service provides access to Pantra micro-markets, which are self-service retail kiosks. To access a micro-market, you must use the Pantra mobile application and have a valid payment method on file.

4.2 Transactions

When you take products from a Pantra micro-market, our computer vision technology will automatically detect the products and charge your account. You agree to pay for all products taken from the micro-market. If you believe you have been incorrectly charged, please contact our customer support.

4.3 Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Attempting to access a micro-market without using the Pantra app or with an account that is not yours
• Attempting to tamper with, damage, or disable a micro-market
• Taking products without properly completing a transaction
• Using the Service for any illegal purpose or in violation of any local, state, national, or international law
• Interfering with or disrupting the Service or servers or networks connected to the Service
• Attempting to reverse engineer any portion of the Service

5. Payment Terms

By using our Service, you agree to pay all fees and charges associated with your account. We use third-party payment processors to bill you through a payment account linked to your account. The processing of payments will be subject to the terms, conditions, and privacy policies of the payment processor in addition to these Terms.

All payments are final and non-refundable, except as required by law or at our sole discretion. We reserve the right to correct any errors or mistakes in pricing, even if we have already requested or received payment.

6. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Pantra and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Pantra.

7. User Content

Our Service may allow you to post, link, store, share, and otherwise make available certain information, text, graphics, videos, or other material ("User Content"). You are responsible for the User Content that you post to the Service, including its legality, reliability, and appropriateness.

By posting User Content to the Service, you grant us the right and license to use, modify, perform, display, reproduce, and distribute such content on and through the Service. You retain any and all of your rights to any User Content you submit, post, or display on or through the Service.

8. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. PANTRA AND ITS SUPPLIERS AND LICENSORS HEREBY DISCLAIM ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. NEITHER PANTRA NOR ITS SUPPLIERS AND LICENSORS MAKES ANY WARRANTY THAT THE SERVICE WILL BE ERROR FREE OR THAT ACCESS THERETO WILL BE CONTINUOUS OR UNINTERRUPTED.

9. Limitation of Liability

IN NO EVENT WILL PANTRA, OR ITS SUPPLIERS OR LICENSORS, BE LIABLE WITH RESPECT TO ANY SUBJECT MATTER OF THESE TERMS UNDER ANY CONTRACT, NEGLIGENCE, STRICT LIABILITY, OR OTHER LEGAL OR EQUITABLE THEORY FOR: (I) ANY SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES; (II) THE COST OF PROCUREMENT OF SUBSTITUTE PRODUCTS OR SERVICES; OR (III) FOR INTERRUPTION OF USE OR LOSS OR CORRUPTION OF DATA.

10. Indemnification

You agree to indemnify and hold harmless Pantra, its contractors, and its licensors, and their respective directors, officers, employees, and agents from and against any and all claims and expenses, including attorneys' fees, arising out of your use of the Service, including but not limited to your violation of these Terms.

11. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

13. Dispute Resolution

Any disputes arising out of or relating to these Terms or the Service will be resolved through binding arbitration in accordance with the American Arbitration Association's rules. The arbitration will be conducted in San Francisco, California, unless you and Pantra agree otherwise.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

15. Entire Agreement

These Terms constitute the entire agreement between you and Pantra regarding our Service and supersede and replace any prior agreements we might have had between us regarding the Service.
